DESIGNATION RIGHTS AGREEMENT (DRA)
A large portion of Alamo Group acquisitions have come through purchases through the Bankruptcy Court of Chapter 11 retailers. In 1997 Alamo created a new concept called Designation Rights Agreement in Alamo’s acquisition of 87 properties in the Ernst Home Center bankruptcy in Seattle. The Seattle Bankruptcy Court reviewed and approved this unprecedented concept which had never been utilized nationally in bankruptcy cases. Through the DRA Alamo acquired all of Ernst’s rights to their 87 leased locations in addition to retaining all of the Debtor’s rights in bankruptcy to redevelop/retenant the properties. These privileges provide substantial aids in the redevelopment process including lease mediations or rejections. The DRA structure is now commonly used in most major retail bankruptcies nationally.
